Introduction
These terms govern the use of services provided by Anuyog Software Solutions Pvt. Ltd. (“Anuyog”, “we”, “our”). By engaging our services or using our website, you agree to these terms.
Definitions
“Client” means the entity commissioning services. “Services” means any engineering, design, consulting, or support work described in a signed statement of work (SOW). “Deliverables” means all code, documents, and artefacts produced under an SOW.
Use of services
Services are provided under the scope defined in the relevant SOW. Change requests must be documented in writing. Clients warrant that work requested does not violate applicable law, third-party rights, or Anuyog's acceptable-use policy.
Payments and fees
Fees, milestones, and payment schedules are defined in the SOW. Unless otherwise stated, invoices are due within 15 days. Late payments accrue interest at 1.5% per month. All amounts exclude taxes.
Intellectual property
On full payment, ownership of custom deliverables transfers to the Client, except for pre-existing Anuyog libraries, tools, and know-how, which remain ours and are licensed for the Client's internal use.
Limitation of liability
To the maximum extent permitted by law, Anuyog's aggregate liability for any claim arising out of an engagement is limited to fees paid in the preceding three months. We are not liable for indirect or consequential damages.
Privacy summary

Termination
Either party may terminate an SOW with 30 days' written notice. Upon termination, Client pays for work completed up to the termination date.
Governing law & jurisdiction
These terms are governed by the laws of India. Disputes will first be attempted to be resolved through good-faith negotiation; unresolved disputes are subject to the exclusive jurisdiction of courts in Indore, Madhya Pradesh.
